60 Ritz crackers, crushed
1/2 c. butter
1/4 c. sugar

Mix as for pie crust. Put 2/3 in a 9x13 pan. Do Not Bake.

FILLING:

1 can Eagle Brand milk
6 oz. frozen orange juice (thawed)
16 oz. Cool Whip
2 cans mandarin oranges (drained)

Mix and pour over crumbs and sprinkle remaining crumbs on top. Refrigerate.
