1 1/2 c. oil
3 c. sugar
3 c. grated zucchini
2 tsp. baking powder
1 tsp. baking soda
1 1/2 tsp. cinnamon
4 eggs
3 c. flour
1 c. nuts

ICING:

1 (8 oz.) cream cheese
1/2 stick butter
2 tsp. vanilla
1 lb. box powdered sugar

Mix ingredients well and bake in three 9 inch pans for 40-45 minutes at 350 degrees or can be baked in a large sheet cake pan.

Mix all icing ingredients well and spread on cake.
