1 c. flour
1 stick butter
1 c. chopped walnuts
8 oz. cream cheese
1 c. powdered sugar
2 (8 oz.) containers Cool Whip
1 (4 oz.) pkg. each chocolate & vanilla instant pudding
3 c. milk
Solid chocolate, grated

Mix together flour, butter and walnuts. Put into 9"x13" pan. Press mixture to cover entire bottom of pan. Bake at 350 degrees for 20 minutes and let cool completely. Mix together well; cream cheese, powdered sugar and 1 container Cool Whip and spread on cooled crust. Mix combined puddings with 3 cups milk and spread on cream cheese layer. Cover top with remaining Cool Whip. Grate chocolate over the top and chill.
