First mix: 2/3 stick butter 2/3 c. chopped pecans or peanuts
Press in 9 x 13 inch pan. Bake 15-20 minutes at 350 degrees. Don't let it brown.
Next, beat together: 1 c. powdered sugar 1/2 carton of lg. Cool Whip or any whipped topping
Third, combine 3 cups milk with 2 (3 1/2 ounce) boxes of chocolate instant pudding (any flavor may be used). Beat 2 minutes.
Fourth, top with remaining topping and pecans.
